Vendor Agreement for ThatMart

This Vendor Agreement applies to all vendors operating on the ThatMart platform, regardless of jurisdiction.

1. Introduction

This Vendor Agreement ("Agreement") is made between ThatMart ("Platform", "we", "our", or "us") and the vendor ("you", "your", or "Vendor"). By registering as a vendor and using the ThatMart platform, you agree to be bound by the terms of this Agreement.

2. Scope of Services

ThatMart provides a digital platform where vendors may list, promote, and sell goods or services. Vendors are solely responsible for their products/services, including descriptions, pricing, fulfillment, and quality assurance.

3. Vendor Obligations

Business Legitimacy: You confirm that your business is registered and compliant with all relevant laws in your jurisdiction.
Product Accuracy: All listings must be accurate, complete, and truthful.
Fulfillment: Vendors must fulfill all customer orders in a timely, professional, and lawful manner.
Customer Service: Vendors are responsible for post-sale service and dispute resolution.

4. Fees and Payments

Zero Commission Policy: ThatMart currently operates a zero-commission policy. You retain 100% of the sale price.
Direct Payment: Payments are made directly to the Vendor through selected payment methods (e.g., card, mobile money, offline cash).
Charges: ThatMart reserves the right to introduce or modify platform fees with notice.

5. Intellectual Property

You retain all rights to your content and listings. By using the platform, you grant ThatMart a non-exclusive, royalty-free license to use your content for promotional and operational purposes.

6. Data Protection and Confidentiality

Vendors must handle customer data in accordance with ThatMart’s Privacy Policy and applicable data protection laws.
Vendors agree not to misuse or disclose any confidential information obtained through the platform.

7. Prohibited Activities

You agree not to:

List counterfeit, illegal, or harmful products.
Engage in deceptive or fraudulent practices.
Attempt to circumvent the platform’s processes or systems.

8. Suspension and Termination

ThatMart may suspend or terminate this Agreement and/or your access to the platform if you breach any part of this Agreement or violate applicable laws. Vendors may terminate this Agreement by giving written notice and ceasing use of the platform.

9. Indemnification

You agree to indemnify and hold ThatMart harmless from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the platform or violation of this Agreement.

10. Limitation of Liability

To the maximum extent permitted by law, ThatMart is not liable for indirect, incidental, or consequential damages arising out of or related to your use of the platform.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the vendor operates, unless otherwise required by applicable law.

12. Amendments

ThatMart may revise this Agreement from time to time. Continued use of the platform constitutes acceptance of the updated terms.
